These are the terms of service for the Verizon API Portal ("Terms" or "Agreement"). When you access or use the Verizon API Portal, you (or the business you represent if you are using the Verizon API Portal on its behalf) are agreeing to the Terms. You must comply with the Terms at all times when you use the Verizon API Portal. Read the Terms carefully. They control your legally binding relationship with us through the Portal. "We," "us," "our" or "Verizon" in these Terms means Verizon Online LLC, a Delaware limited liability company, with an address at One Verizon Way, Basking Ridge, New Jersey 07920, United States, on behalf of itself and for the benefit of its affiliates.
We refer to the Verizon API Portal in these Terms as the "Services." Services include the following products and services:
When you register a Verizon API Portal account or otherwise access or use any part of the Services, these Terms apply.
These Terms include the following policies and agreements, which are incorporated by reference. Read them carefully.
If you are a California resident then the California Consumer Privacy Act (CCPA) provides you specific rights. The California Consumer Privacy Act section of the Verizon Privacy Policy is not applicable to your use of the Site and Developer Tools and is replaced with the disclosures in the California Consumer Privacy Act section in these Terms.
If you are based in the EU, Iceland, Liechtenstein, or Norway, then the following notice also applies to you.
If there's a separate agreement between you and Verizon about using the Site, the Developer Tools, or any APIs you receive through the Portal, that agreement's terms will apply instead of these terms, to the extent of any conflict.
We reserve the right to make changes to these Terms from time to time. Changes are effective once they are posted. If you use the Services after the Terms have changed, we will treat your continued use of the Services as acceptance of the new Terms.
IIf you do not agree to changes, you may terminate these Terms at any time by deleting your account and ceasing use of the Services.
We encourage you to read the Terms regularly for updates.
While we will use reasonable efforts to provide advance notice, you understand that we reserve the right to make changes to the Services without notice. These changes may require you to perform additional work to continue using the Services. You are solely responsible for all expenses related to such additional work.
Subject to these Terms, including the restrictions set forth below, we grant you a non-exclusive, non-transferable, non-sublicensable, worldwide, revocable right and license to: (a) access and use the Services to develop an Application solely for your own internal testing and Application development purposes; and (b) use and make calls to our APIs available to you through the Services (if any) to test and develop your Application. You may also use the Services to browse and interact with the Site. This license does not permit you to use the Services for production releases of the Application either for your internal business use or for commercial or other third party use of Services through your Application.
“API” means an application programming interface we make available to you through your use of the Site and/ or the Developer Tools.
“Application” means any non-commercial, prototype software application, program, or product developed by you that utilizes or otherwise interacts with an API and is authorized to be developed solely for your own internal business purposes pursuant to these Terms.
The licenses granted to you under these Terms are only for your own internal business purposes and do not give you any rights to distribute, market, or sell your Applications to a customer, an end user, a subscriber, or any third party or use to make calls to the API to distribute, market, or sell your Applications to a customer, an end user, a subscriber, or any third party. This license excludes, without limitation, your right to use the API and the Developer Tools for any purpose other than your non-commercial, prototype internal development use. You agree that you will not commercialize your Application in any manner whatsoever, including, but not limited to, charging a fee for your Application, while you are developing and testing your Application. If you would like to distribute, market, or sell your Application in a manner that is not solely for your own internal testing and development purposes, then you must enter into a separate written agreement with Verizon, and Verizon may, in its sole discretion, decline your request to distribute, market, and/ or sell your Application. Verizon may also condition the distribution, marketing, and/ or sale of your Application on any terms and conditions Verizon, in its sole discretion, determines is applicable or necessary for such use.
The Developer Tools may contain open source code, which is licensed under the terms of the applicable license. A list of the open source used and the applicable licenses, which may be updated from time to time, is available at www.verizon.com/opensource.
To use a certain portion of the Services, you must create an account by selecting a username and password and providing certain registration information, including your name, a valid email address, phone number, organization name, and team name. You may also provide your organization’s website address, Github address, and a description of your team. Your registration information must be true, complete, and current, and you must keep that information true, complete, and current after you create an account. We may contact you to confirm some or all of your registration information.
After creating an account, you may be able to access keys, secrets, and/or tokens (“Access Credentials”) that enable you or your applications to interact with the Developer Tools. You are responsible for keeping Access Credentials secure and confidential. You are responsible for all uses of the Site and the Developer Tools by you or through your username, password, and/ or your Access Credentials. You agree not to falsify or alter any Access Credentials assigned to you or to obscure or alter the source, location, or any other identifying information of API calls coming from you or your Application.
You are responsible for all activity that occurs through your account and/or your Access Credentials. You will contact us through our support tools on this Site if you become aware of suspected or actual misuse or compromise of your account or Access Credentials or if your account information is lost or stolen. We will not be liable for any loss or damage arising from your failure to comply with this section.
In addition to the information collected at registration, we also collect information you provide to us when you seek support and about your use of the Developer Tools. We use this information to provide you with access to and to enable use of the Site and the Developer Tools and for our own development and improvement of the Site and existing or future Developer Tools.
You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. We may provide the ability for you to grant additional users access to your account under separate usernames and passwords. We may also provide you the ability to manage and assign permissions and roles to your account’s additional users. You agree that you are responsible for all activities that occur under your account or password, including all activities that occur under any username you grant access to your account. You will ensure that all users granted access to your account comply with these Terms, any other agreement related to the Verizon API Portal, this Site, and/ or the Developer Tools, and any non-disclosure agreement you enter into with us. If you make changes to your settings or user permissions within this Site or the Developer Tools, it may take some time for our system to process the change and you acknowledge that those changes may not take effect immediately.
You may not register for, access, or use the Services if (i) you are under the age of 18 or (ii) you are barred from using the Services under the laws of the United States or the country in which you reside or from which you access the Services.
You agree to use the Services for lawful purposes only. Except as otherwise explicitly permitted in these Terms, you agree not to (i) sell, resell, distribute, market, sublicense, lease, assign, redistribute, transfer, or otherwise make the Services available to any third party; (ii) modify, copy, harvest, collect, or create derivative works based on the Services; (iii) copy, frame, or mirror any part or content of the Services, other than copying or framing for your own internal business purposes for use as permitted under these Terms; (iv) reverse engineer the Services; (v) attempt to gain unauthorized access to, or disrupt the integrity or performance of, the Services, the Verizon network, or any service provided by or on behalf of Verizon, or any device connected to the Verizon network; (vi) send or store infringing or unlawful material using the Services; (vii) impersonate someone else; (viii) access or use the Services for the purpose of building a product or service or for benchmarking, monitoring availability, comparative analysis, or similar purposes; or (ix) remove, alter or destroy any copyright, trademark, or other proprietary rights notice displayed on the Services.
You must not propagate any virus, worms, malware, Trojan horses, or other programming routine that could damage the Services. You may not use spiders, robots, data-mining techniques, or other automated devices or programs to mine, harvest, collect, store, catalog, download, or otherwise reproduce, store or distribute content available on the Services. You may not use any such automated means to manipulate the Services or attempt to exceed the limited authorization and access granted to you under these Terms. You agree to regularly monitor your devices, Applications, and users for any issue that may compromise the security of the Services (“Security Issue”). We may, without obligation, monitor your use of the Services to verify your compliance with these Terms and to identify an actual or potential Security Issue.
We may impose limits on the number or rate of calls made using our APIs. You will not attempt to exceed or bypass these limits, which we may change at any time in our sole discretion.
You will not make any representations, guarantees, or commitments to your end users or to anyone else regarding the availability of or functionality supported by the Services.
By registering for and using or accessing the Services, you agree that you are subject to and will comply with the Verizon Acceptable Use Policy and the Verizon Privacy Policy.
Your Applications will not substantially replicate products or services offered by us. However, we may develop, distribute, and/ or publish applications, products, services, and/ or solutions that are similar to or otherwise compete with your Applications.
Your Applications may not use or access the Developer Tools (including, but not limited to, our APIs) to monitor the availability, functionality, or performance of the Developer Tools (including, but not limited to, our APIs) or any of our applications, products, services, or solutions for any such benchmarking or monitoring purposes.
You acknowledge that you are solely responsible, and that we have no responsibility or liability of any kind, for the content, development, operation, support, or maintenance of your Applications. Without limiting the foregoing, you will be solely responsible for (a) the technical installation and operation of your Applications; (b) creating and displaying information and content on, through, or within your Applications; (c) ensuring that your Applications do not violate or infringe the intellectual property rights of any third party; (d) ensuring that your Applications are not offensive, profane, obscene, libelous, or otherwise illegal; (e) ensuring that your Applications do not contain or introduce any viruses, malware, Trojan horses, time bombs, or any other similar harmful software into this Site, the Developer Tools, the Verizon network, any of our products, any of our customer data, or other data provided, stored, or transmitted in connection with your use of this Site or the Developer Tools; (f) ensuring that your Applications are not designed to or utilized for the purpose of spamming our subscribers, customers, and/ or end users; and (g) ensuring that your Applications do not violate any applicable law or third party right.
If your Application includes any free and open source software (“FOSS”), you must comply with all applicable FOSS licensing terms. You also agree not to use any FOSS in the development of your Application in such a way that would cause us to be subject to any FOSS licensing terms or obligations.
When you access the Portal, you will receive information that we consider confidential and that you must not disclose to any third party or use in any way other than to conduct the business that we have been discussing together. “Confidential Information” means any and all information, in whatever form or medium, whether written, electronic, oral, or otherwise, that is disclosed or made available by us to you in connection with this Agreement, and that (a) you receive from us about the Portal, and through the Portal, (b) is marked or otherwise identified as confidential or proprietary at the time of disclosure, or (c) given the nature of the information or the circumstances surrounding its disclosure, a reasonable person would understand to be confidential. Confidential Information does not include any information that: (a) is or becomes generally available to the public other than as a result of a disclosure by you in violation of this Agreement; (b) is rightfully received by you from a third party without a duty of confidentiality; or (c) is independently developed by you without use of or reference to our Confidential Information.
The CCPA provides California residents with the right to know what information we collect about you and how we use it, access and delete that information within certain limits, request that we correct information that you believe is inaccurate, limit the use of certain sensitive personal information, tell us not to sell or share personal information about you and to not be discriminated against for invoking these rights.
These Terms and the Verizon Privacy Policy provide details about our collection and use practices. We collect the following categories of personal information: identifiers, including name, email address, telephone number, and account credentials; professional and employment information such as the company you represent, your team, and your Github address; secure account information such as your account log-in credentials; and internet information such as your use of our Developer Tools. We collect this information during your account registration, when you ask us for technical support and when you use the Site and Developer Tools. We do not collect sensitive personal information under California law. Since we do not use or disclose sensitive personal information, we do not offer an option to limit the use of sensitive personal information.
We use this information for business and commercial purposes as they are defined by CCPA, including to provide you with access to the Site and Developer Tools; operating our business; providing customer service; improving our Site and Developer Tools; debugging; research; and security, fraud, and legal compliance.
Our policies require that we retain records containing personal information for as long as they are needed for legal, tax, audit, investigative, and/or other security purposes and then securely delete or destroy them. We do not sell or share personal information. You have the right to request to access, delete or correct information. You can request access to specific pieces and categories of personal information by emailing us crsp-superadmin@verizon.com. We do not discriminate against you by denying you access to the Site or Developer Tools or offering a different level or quality of goods and services, if you exercise any of your rights. You may designate an authorized agent to exercise your rights on your behalf. We may require you to verify your identity before assigning an agent or exercising your rights. As between you (or the business you represent if you are using the Services on its behalf) and Verizon, we retain and own all right, title and interest in and to the Services, including, without limitation, all copyrights, trademarks, service marks, patents, trade secrets, and other intellectual property rights in the Services, and any modifications, corrections, or enhancements thereto. No rights or licenses in the Services are granted to you (or the business you represent if you are using the Services on its behalf) hereunder other than as expressly set forth in these Terms.
You are welcome to provide us with feedback, comments, ideas, observations, and suggestions for improvements, either orally or in writing, regarding the Services (collectively "Feedback"). If you provide us with Feedback, you agree that:
The Verizon and API Developer Portal names, trade names, trademarks and logos, as well as all related product and service names, design marks, logos and slogans, are the property of Verizon and, except as expressly permitted in these Terms, may not be used by you without our prior written consent. You agree that we, in our sole discretion, may use your name, logo, and/or domain name on our websites and other promotional materials for the purpose of advertising or publicizing your use of the Services.
This Site may contain links and references to third-party websites, which are provided solely for your convenience. We are not responsible for the content or information contained on such third-party websites and inclusion of such links does not imply endorsement of those websites or the content contained on such websites.
Our Services, including any software or technology provided as part of the Services, may be subject to U.S. export controls laws and regulations, including, but not limited to, the Export Administration Regulations (“EAR”). You agree that any export, re-export, or retransfer of software and technology we provide under these Terms will comply with all applicable U.S. export controls and economic sanctions laws and regulations, and such compliance will include obtaining any required export licenses or authorizations from the U.S. government. You further agree that you will not export, re-export, or retransfer, directly or indirectly, software or technology provided by us under these Terms in any form to destinations in or nationals of Country Groups E, as specified in Supplement No. 1 to Part 740 of the EAR, to any U.S. Government prohibited or restricted party or to end users prohibited under the EAR.
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR NEEDS, BE UNINTERRUPTED, ACCURATE, COMPLETE, USEFUL, FUNCTIONAL, OR ERROR FREE, OR THAT THE SERVICES, IN WHOLE OR IN PART, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THIS SITE MAY INCLUDE TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS. NO ADVICE OR INFORMATION GIVEN BY REPRESENTATIVES OF VERIZON WILL CREATE ANY WARRANTY.

ALL BETA SERVICES ARE PROVIDED STRICTLY "AS IS" WITHOUT WARRANTIES OF ANY KIND. BY USING BETA SERVICES, YOU ACCEPT ALL RISKS AND UNDERSTAND AND AGREE THAT WE WILL NOT BE LIABLE TO YOU OR ANY OTHER THIRD PARTY IN CONNECTION WITH BETA SERVICES.
You affirm and agree that you will not assert against us, our affiliates, or authorized representatives any claim for infringement or misappropriation of any rights protectable under intellectual property law anywhere throughout the world, including rights protectable under patent, copyright, trade secret, or trademark, in any way relating to the Services or your Applications.
You agree to defend, indemnify, and hold harmless Verizon and its officers, directors, employees, agents, licensors, and suppliers from and against all liabilities, costs, and expenses, including reasonable attorney's fees, arising out of or in connection with (i) any act or omission by you in connection with the use of the Services or related to your devices, Applications (and their users), or data provided, stored, or transmitted in connection with your use of this Site or the Developer Tools; (ii) your violation of these Terms; (iii) any actual or alleged infringement by you of any intellectual property or other right of any person or entity; or (iv) your violation of laws and regulations. You will assume control of the defense and settlement of any claim subject to indemnification by you. We may, however, at any time elect to take over control of the defense and settlement of any such claim. You will not settle any such claim without our prior written consent.
We may terminate your account for the Services at any time and for any reason upon notice to you. In addition, we may terminate your account without prior notice if: (a) your account reflects a prolonged period of inactivity or infrequent activity; (b) you fail to respond to a claim of alleged infringement within a reasonable time; or (c) you violate these Terms or any other applicable policy or other agreement between you and Verizon with respect to the Services.
Upon termination or expiration of these Terms, all sections that by their nature are intended to survive will so survive, including, without limitation, Restrictions on Use of Services, Proprietary Rights and Ownership, Links to Other Sites, Export Control, Liability for our Services, Beta Services, Indemnification, Infringement, Survival, General, Fees, Suspension for Nonpayment, Taxes, and Unauthorized Countries. For the avoidance of doubt, the restrictions and limitations applicable to the licenses granted to you hereunder will survive the termination or expiration of these Terms.
The failure of either party to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Each parent and affiliate of Verizon shall be a third party beneficiary to these Terms and shall be entitled to enforce and rely upon any provision of these Terms that confers a benefit on or rights in favor of them. Each party must comply with all applicable laws in connection with the Services. You may not transfer, assign, or delegate the right and/or duties under these Terms without our prior written consent, and any attempted assignment or delegation is void. We shall have the right hereunder to seek an injunction, if necessary, to stop or prevent a breach of your obligations under these Terms. If any portion of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining portion(s) will remain in full force and effect, and any invalid or unenforceable portion(s) shall be construed in a manner that most closely reflects the effect and intent of the original language. If such construction is not possible, the provision will be severed from these Terms, and the rest of the Terms shall remain in full force and effect. The relationship between the parties is one of independent contractors. These Terms shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflict of law provisions. Any legal action, suit, or proceeding arising out of or relating to these Terms, must be instituted exclusively in the federal or state courts located in New York, New York. These Terms constitute the entire agreement between you and Verizon with respect to the subject matter hereof and supersede all prior oral or written understandings, communications, or agreements.
Nothing on this Site is intended to be, nor should be construed as, an offer to enter into a contractual relationship with you or anyone else, except for these Terms, which govern the relationship between us in relation to your use of the Services (plus any additional terms we impose in relation to specific products and/or services). If you make a contract with a third party who is named or referred to on this Site, it is your responsibility to ensure that you are comfortable with the terms of that contract and to take legal advice if necessary.
Your use of the Services in accordance with these Terms is free of charge unless otherwise agreed in writing. We reserve the right to charge for all or any portion of the Services, including, but not limited to, certain API Portal APIs, and to change our fees at our discretion. We may from time to time launch other services which may be subject to a separate charge and terms.
Where you do pay for services, we may temporarily suspend your access to fee-based Services, with or without notice, if you fail to make timely payments of amounts due for those Services, or if we receive chargebacks or other payment reversal requests from your bank, until such time as those outstanding amounts are paid in full. We will have no liability to you for any damages, liabilities, or losses of any kind you may incur in connection with any suspension of Services pursuant to this section.
If we are legally required to collect taxes, fees, assessments, or any other related charges (hereinafter a “Tax”) with respect to any and all purchases under these Terms, then such Taxes will be billed to you as a separate charge. Said Taxes are to include items of any nature imposed upon the Services (except for charges based upon Verizon’s income) including, but not limited to, any and all expenses necessary to comply with any and all legally imposed or governmental requirements or to provide or improve service to you (“Surcharges”). Such Surcharges may be included as a recovery of offset on any invoice transmitted or presented to you for payment. Taxes and Surcharges may change from time to time. If you present Verizon with a valid official Tax exemption certificate or other evidence of exemption that we find acceptable, then Taxes covered by the exemption will not be imposed or collected. However, if such exemption is later found to be invalid or not apply, you will be responsible for all uncollected taxes, and any additional amounts imposed or incurred (including, but not limited to, penalties and interest). Any amounts billed as Taxes prior to the receipt of a valid evidence of exemption are not subject to being credited.
Except with our express advance written consent, you are prohibited from accessing, collecting, storing, or using the Developer Tools in the following countries:
Exceptions will only be granted, in Verizon’s sole discretion, (i) in writing, (ii) on a project-specific basis, (iii) following a review in accordance with Verizon’s policies of the particular project and the resources located in such unauthorized country, (iv) subject to any conditions imposed by Verizon as a result of such review, and (v) in advance of the commencement of work by such resources on the relevant project.
